Terms of Service for TokTraction

These Terms of Service ("Terms") govern your access to and use of TokTraction, a web, mobile, and desktop application provided by Father of Legends LLC ("we," "us," or "our") for reviewing user-generated content (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.
1. Acceptance of Terms
By creating an account or using TokTraction, you represent that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
TokTraction is a platform that allows users to upload, review, and engage with user-generated content, including videos and other media. The Service includes features for account creation, content management, and payment processing for access to various services through a credit-based system.
3. User Accounts
To access certain features of the Service, you must create an account by providing accurate and complete information, including your name, email address, and phone number. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately at support@toktraction.com if you suspect unauthorized use of your account.
4. User Conduct
You agree to use the Service in compliance with all applicable laws and these Terms. You must not:
Engage in illegal activities or upload content that is unlawful, harmful, or offensive.
Harass, threaten, or abuse other users or third parties.
Upload content that infringes on intellectual property rights, including copyrighted material, without proper authorization.
Reverse-engineer, decompile, or attempt to access the Service’s source code.
Use the Service for commercial purposes without our prior written permission, except as expressly permitted by these Terms.
We reserve the right to remove any content or restrict access to the Service if you violate these Terms.
5. Content Ownership and Licensing
You retain full ownership of the user-generated content ("Content") you upload to TokTraction, including all associated intellectual property rights. By uploading Content, you grant Father of Legends LLC a limited, worldwide, non-exclusive, royalty-free license to use, display, reproduce, distribute, and modify the Content solely as necessary to operate, host, and provide the Service to you and other users. This license is revocable and terminates when you delete your Content from the Service, except for any Content already shared or distributed by other users in accordance with the Service’s functionality (e.g., reposts or public shares).
Any use of your Content for promotional or marketing purposes, including the use of your likeness (e.g., in testimonials or social media campaigns), will be subject to your explicit prior consent and compliance with applicable privacy laws. You may withdraw such consent at any time, and Father of Legends LLC will cease further use within a reasonable timeframe.
You represent and warrant that you have the necessary rights to upload your Content and grant the above license. You agree not to upload Content that is offensive, illegal, or infringes on the rights of third parties. Father of Legends LLC respects your creative control and will not claim ownership or make derivative works of your Content beyond what is required to deliver the Service.
If you choose to delete your Content, Father of Legends LLC will remove it from the Service promptly, subject to any technical or legal constraints (e.g., backups or legal obligations). Your Content is yours, and we are committed to supporting your rights as a creator.
6. Payment Terms
TokTraction offers one-time purchases and subscription plans, through which users purchase "credits" to access various services. Payments are processed by third-party providers, including Stripe, Apple, and Google. You agree to provide accurate payment information and authorize us to charge the applicable fees.
All sales are final, but we strive for customer satisfaction and may offer refunds on a case-by-case basis at our discretion. To request a refund, contact us at support@toktraction.com. Additional fees may apply as specified at the time of purchase.
7. Account Termination and Suspension
We may suspend or terminate your account at our discretion, including for:
Violation of these Terms, including prohibited conduct or uploading restricted content.
Non-payment of applicable fees.
Any other reason we deem necessary to protect the Service or other users.
You will be notified of suspension or termination via email. Upon termination, your access to the Service will cease, and we will retain your data only as required by law or these Terms. Upon request, we will provide you with a copy of your data, subject to technical feasibility and legal restrictions. You may terminate your account at any time by contacting us at support@toktraction.com.
8. Intellectual Property
The Service, including its design, code, and branding, is owned by Father of Legends LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent, except as permitted by these Terms.
9. Third-Party Services
TokTraction integrates with third-party services, such as Stripe, Apple, Google, and Google Cloud, for payment processing, data storage, and other functions. Your use of these services is subject to their respective terms and policies, and we are not responsible for their practices.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure, or that content uploaded by users will be accurate or appropriate.
11. Limitation of Liability
To the fullest extent permitted by law, Father of Legends LLC, its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the Service, including damages from service interruptions, data loss, or user-uploaded content. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $1, whichever is greater.
12. Indemnification
You agree to indemnify and hold harmless Father of Legends LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, or losses arising from your use of the Service, your Content, or your violation of these Terms or applicable laws.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Missouri, USA, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service will be resolved in the state or federal courts located in Stone County, Missouri, and you consent to the jurisdiction of such courts.
14. Changes to These Terms
We may update these Terms at any time by posting the revised version on the Service or notifying you via email and in-app notifications. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms.

16. Miscellaneous
These Terms constitute the entire agreement between you and Father of Legends LLC regarding the Service, superseding any prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision will not constitute a waiver of such right or provision.
